A.1. It is the board’s executive session and the board determines who is necessary to attend. Therefore, if the board determines that the executive director is not necessary for the discussion, the board is not required to invite him to attend.
A.2. If the purpose of the executive session is to discuss personnel matters related to the executive director, the board must give the executive director 24 hours’ written notice of their intent to have the discussion in executive session. The executive director may choose to require the board discuss the matter at the meeting rather than in executive session. If he does, the board must have the discussion during the meeting, rather than in executive session. If he does not, the board must determine whether his attendance in the executive session is necessary for their discussion.
